Terms of service
The terms you are agreeing to.
These terms govern use of the InnovaEdge platform and this website. They are written to be read, not skimmed past. Where a signed order or written agreement between us says something different, that document wins.
Effective 6 September 2026 · InnovaERP Solutions LLC, Lincoln, Nebraska
01 — Who and what
The parties, and what these terms cover.
Us
InnovaERP Solutions LLC, Lincoln, Nebraska, United States, operating InnovaEdge. "We", "us" and "InnovaEdge" mean that company.
You
The organization that holds an InnovaEdge account, and the people that organization lets in. If you accept these terms on behalf of an organization, you are confirming you are allowed to.
What is covered
The InnovaEdge platform at app.innovaplatform.org, its API, its agent interface, and this website. The handling of personal information collected by this website is set out in the privacy policy; these terms cover the service itself.
Orders come first
Integrate and Ultimate deployments are scoped per customer. If you have a signed order, statement of work or written agreement with us, it takes precedence over these terms wherever the two disagree — including on service levels, which are set in the order rather than here.
02 — The service
What you get is what the site says, badges included.
The platform is described on the platform page and the hardware it manages on the devices page. Every capability there carries a status. Anything marked "in development" or "planned" is not part of the service you are buying, and nothing in these terms promises it. Anything with no badge is available, and is what we stand behind.
Your organization
Everything you put into InnovaEdge — devices, telemetry tables, dashboards, audit history — is scoped to your organization. Owners decide who is a member and what role they hold. You are responsible for the people you let in, for keeping credentials and API keys confidential, and for what is done under them.
Your devices
InnovaEdge configures and updates hardware you own or are authorised to manage. You confirm you have that authority for every device you adopt. Configuration and firmware pushed to a device in the field are yours to decide and yours to verify: the platform gives you preview, staged rollout, verification and rollback so a bad push degrades instead of going dark, and using them is your call.
Acceptable use
Use the service lawfully and for managing your own fleet. Do not probe, overload or interfere with the platform or with other organizations, do not use it to manage devices you have no right to control, and do not resell access except under a tier that includes customer tenants. Anything that would breach a law or another person's rights is out.
The agent interface
The platform exposes itself to AI agents through a machine interface, and ships an operations agent of its own. Both are gated: nothing executes on your fleet because a model suggested it — an agent proposes, and a person with the right role approves. Tokens issued to an agent carry only the scopes you grant. What an agent does under your tokens is treated as done by you.
03 — Fees
Two numbers, both published.
Every rate is on pricing page. A monthly platform fee for your tier, billed monthly or annually in advance, and a metered infrastructure floor billed daily in arrears for the days a device actually connects. Cancellation and refunds are set out in full in the refund policy.
Usage you can check
Broker messages, bytes, storage and active devices are metered per organization and shown to you in the console, so what you are billed for is something you can verify rather than take on trust.
Price changes
We can change published rates with at least 30 days' notice by email. A change takes effect at the start of your next billing term, never in the middle of one you have already paid for. The volume steps on the metered floor apply automatically as your fleet grows and never need asking for.
Late payment
If an invoice is not paid by its due date, your organization is placed in a past-due state. You keep access to your data and can export it; the ability to adopt new devices and push configuration is locked until the balance is settled. We will always tell you before we lock anything.
Taxes
Published rates exclude sales tax, VAT and similar. Where we are required to collect a tax, it appears as its own line on the invoice.
04 — Your data
It is yours. That is not a figure of speech.
Ownership
The telemetry your devices report, the configuration you author, the models you build and the records you upload belong to you. We process them to run the service for you and for nothing else. We do not sell them, train on them, or share them with anyone you have not authorised.
Where it lives
If you bring your own MQTT broker or your own database, your telemetry lands in infrastructure you own and stays there. A private sink that cannot accept a write fails visibly; your data is never quietly redirected into platform storage instead. If you use the managed broker and storage, your data is held in a namespace scoped to your organization alone.
Getting it out
Every tier includes the API and table export. You can take your data out at any time, for any reason, without asking us. After cancellation your organization stays available in read-only form for 30 days so you can export, and is then deleted from platform storage. Data in infrastructure you own is untouched by that — it was never ours to delete.
Security
How the boundary around your organization is built and operated is described onthe security page, in plain terms. We hold no SOC 2, ISO 27001 or penetration-test report and do not claim to; the page describes posture, and these terms promise nothing beyond it.
05 — Availability and support
What we run, and what we do not promise.
How it is run
Production runs a pinned release. Promotion is preflighted and health-gated and rolls back automatically if the gate fails. The platform is backed up offsite with freshness monitored, and is watched from inside and outside the network boundary. These are things we do, not guarantees of a particular uptime.
Service levels
A service-level commitment, and any credits that go with it, exists only where your signed order says so. Integrate and Ultimate deployments are scoped per customer and their service level is set in that order. On Connect and Operate there is no uptime warranty; we run the platform as described above and tell you when something is wrong.
Support
Support is by email, and reaches a person. A named support engineer is part of Ultimate. Support bundles let you hand us a problem with its context attached; we would rather see that than a screenshot.
Changes to the service
The platform is continuously deployed and the changelog records what ships. We add and improve things without notice. If we ever remove a capability you are paying for, you get at least 60 days' notice and the right to cancel with a refund of any prepaid fees for the period after removal.
06 — Ending it
Either of us can, and here is what happens.
You cancel
Any time, from the console or by email. No notice period, no exit fee. What you are refunded is set out in therefund policy. Your 30-day export window starts on the cancellation date.
We suspend or end it
For non-payment, after the lock described under Fees and a further written notice. For a breach of acceptable use, immediately if the breach endangers the platform or other organizations, otherwise after notice and a chance to fix it. If we discontinue the service altogether, you get at least 90 days' notice and a refund of prepaid fees for the period after the end date.
07 — The legal part
Warranties, liability, law.
Warranty
We warrant that the service will do what the platform page says it does, with the statuses shown there. Beyond that, the service is provided as is. We do not warrant that it will be uninterrupted or error-free, or that it is fit for a purpose we have not described. Managing hardware in the field carries risk that no software removes, and you are the one who decides what to push to your devices.
Liability
To the extent the law allows, our total liability to you for anything arising from the service is limited to the fees you paid us in the twelve months before the claim, and neither of us is liable to the other for indirect or consequential loss — lost profit, lost data you chose not to export, or business interruption. This does not limit liability for fraud, for death or personal injury caused by negligence, or for anything the law says cannot be limited.
Governing law
These terms are governed by the law of the State of Nebraska. Any dispute that we cannot settle by talking is brought in the state or federal courts sitting in Lancaster County, Nebraska, and both of us accept their jurisdiction.
Changes to these terms
If we change these terms in a way that affects your rights, we email your organization owners at least 30 days before the change takes effect. Continuing to use the service after that date is acceptance. The effective date at the top of this page is the current version.
Whole agreement
These terms, the refund policy, the privacy policy and any signed order between us are the whole agreement. If a court finds one clause unenforceable, the rest stand. Neither of us waives a right by not exercising it promptly.
